Cases of note: In re USACafes, L.P. Litigation, 600 A.2d 43 (Del. Ch. 1991). Plaintiffs Limited Partners of USACafes, L.P. (“Plaintiffs”) brought a class action suit against Defendants USACafes General Partner, Inc. and six directors of the General Partner (“Defendants”) for breach of fiduciary duty. Plaintiffs claimed that the sale of Plaintiffs’ assets to an independent entity, under which Defendants received side payments, breached Defendants’ fiduciary duty to Plaintiffs because Defendants consequentially accepted a lower offer price for Plaintiffs’ assets. In a groundbreaking decision, the Delaware Chancery Court held that the Directors of a corporate general partner owe a fiduciary duty to the limited partners. Sanders v. Wang, et al., Del. Ch., CA No. 16640, Steele, V.C. (Delaware Chancery Court, November 8, 1999); (Co-Lead Counsel) -- recovering $250 million in stock from Computer Associate senior executives that exceeded their authority by improperly awarding themselves excess shares pursuant to a stock option plan. Recovery of 4.5 million shares of Computer Associates International common stock from certain senior executives for the benefit of Computer Associates. Trumper v.
